保密及不披露协议
通过注册和/或参加本次线上简报会（以下简称“简报会”），签署人（以下简称“接收方”）同意，MacroScope Capital 及其关联方、代表、合作方和投资合作伙伴（以下简称“披露方”）在简报会中展示、披露或提供的部分信息可能属于保密及专有信息（以下简称“保密信息”）。
接收方同意：
1. 保密义务。
对所有保密信息严格保密。未经事先书面同意，不得向任何第三方披露、传播、复制、发布、录音、录像、截屏或以其他方式分享任何保密信息。
2. 限定用途。
保密信息仅可用于评估与本次简报会相关的潜在投资机会，不得用于任何其他目的。
3. 受保护的信息。
保密信息包括但不限于投资条款、财务信息、预测数据、发行或投资材料、商业计划、策略、交易结构，以及在本次简报会期间或与本次简报会相关而披露的其他非公开信息。
4. 保密信息的例外。
保密信息不包括以下信息：并非因违反本协议而已经公开的信息；接收方在披露前已合法知悉的信息；或接收方从不负有保密义务的第三方处合法取得的信息。
5. 不构成投资要约。
本次简报会及所提供的任何材料仅供信息交流和讨论之用，不构成出售任何证券的要约，也不构成购买任何证券的招揽。任何具体投资机会均应以其正式投资或发行文件以及相关投资者资格要求为准。
签署本协议即表示接收方确认其已阅读、理解并同意遵守本《保密及不披露协议》的全部条款。
CONFIDENTIALITY & NON-DISCLOSURE AGREEMENT
By registering for and/or attending this webinar (the “Webinar”), the undersigned (“Recipient”) agrees that certain information presented or made available by MacroScope Capital and its affiliates, representatives, sponsors, and investment partners (“Disclosing Parties”) may be confidential and proprietary (“Confidential Information”).
Recipient agrees to:
1. Maintain Confidentiality.
Keep all Confidential Information strictly confidential and not disclose, distribute, reproduce, publish, record, screenshot, or otherwise share such information with any third party without prior written consent.
2. Limited Use.
Use Confidential Information solely for the purpose of evaluating potential investment opportunities presented in connection with the Webinar and for no other purpose.
3. Protected Materials.
Confidential Information may include, without limitation, investment terms, financial information, projections, offering materials, business plans, strategies, transaction structures, and other non-public information presented during or in connection with the Webinar.
4. Exclusions.
Confidential Information does not include information that is publicly available through no breach of this Agreement, was lawfully known to Recipient before disclosure, or is lawfully obtained from a third party without a confidentiality obligation.
5. No Investment Offer.
The Webinar and any materials provided are for informational and discussion purposes only and do not constitute an offer to sell or solicitation to purchase any security. Any investment opportunity will be subject to its applicable offering documents and eligibility requirements.
By signing below, Recipient acknowledges that they have read, understood, and agree to this Confidentiality & Non-Disclosure Agreement.
